THE SOCIETIES ACT
APPLICATION FOR INCORPORATION
We the undersigned, hereby declare that we desire to form a society under the societies act and that:
- 1. The name of the Society is “Lacombe Curling Association.” 49/02/28
- 2. The object of the Society is to promote the sport of curling in the Town of Lacombe and District including the operation of a curling rink, or rinks, and the carrying on of such other activity as may be conveniently combined with such operation or may be of benefit to the club in the promotion of the sport of curling. 49/02/28
- 3. The operation of the Society are to be chiefly carried on in the Town of Lacombe, Province of Alberta. 49/02/28

LACOMBE CURLING ASSOCIATION BY-LAWS
1. The name of the Society shall be Lacombe Curling Association and the object of the Association shall be as set forth in the Application for Incorporation. 49/03/24
2. (a) The Members of the Association shall be all those persons who have paid the annual membership fee fixed from year to year by the Executive Committee. 79/01/31
(b) There shall also be a class of persons designated as the “Associated Members” which class shall consist of those persons of the general public who have paid the daily fee to use the Associations facilities, and the Associated Members shall enjoy all the rights and privileges that members have, with the exception that they have no voting privileges, do not have to receive notice of any meetings, and cannot hold office in the Association. 79/01/31
(c) The Executive Committee of the Association for any year may limit the number of members of the Association for that year and they make provision for preference in favor of the former members of the Association and selection of the membership. 79/01/31
3. Any member may withdraw from membership in the Association by filing, with the secretary, notice of his withdrawal. 49/03/24
4. A member may be expelled from the Association by unanimous resolution of the Executive Committee or by and extraordinary resolution of the members. No portion of the membership fee shall be repayable to any expelled member unless specifically provided in the resolution of the expulsion. 49/03/24
5. An annual meeting of the members of the Association shall be held in October of each year and a semi-annual meeting of the Association shall be held in April of each year. At least seven (7) clear days notice of any meeting shall be given by positing the same in three (3) public places in the Town of Lacombe and by publishing the same in one issue of the Lacombe Globe. 79/01/31
6. Meetings of the Association shall be presided over by the President or in his absence by one of the other members of the Executive Committee, selected by the members of the Association or failing that, by a member of the Association selected by the other members present. 49/03/24
7. Ordinary business of the Association shall be transacted by the majority vote of the members who have paid the annual fee. Each member of the Association present in person shall be entitled to one (1) vote, and in a case of equality of votes, the chairman of the meeting shall be entitled to one extra or casting vote. 79/01/31
8. Special meetings may be called by the Executive Committee when it thinks fit and shall be called by the Executive Committee on the requisition of not less than 1/10 of the members of the Association at the time of such request. Notice of a special meeting shall be given in the same such manner as in the case of a general meeting and shall include notice of the business to be transacted at such meeting. 49/03/24
9. Ten members shall constitute a quorum at any meeting of the members of the Association. Any meeting may be adjourned from time to time. 49/03/24
10. Any resolution consented to in writing by all the members of the Association shall be of the same force and effect as if passed at a duly convened meeting of the Association. 49/03/24
11.The Executive Committee of the Association shall consist of a President, Vice-President, a Secretary, a Treasurer, and Ten (10) Directors, all of whom shall be members of the Association, and not less than two (2) of the Directors shall be female. 79/01/31
12.The Executive Committee shall carry on all the ordinary business of the Association and shall have the power to appoint such sub-committees as may be necessary. The Chairmen of sub-committees shall be given notice of the meetings of the Executive Committee and shall be entitled to attend but shall not be entitled to vote at any such meeting. 49/03/24
13. Members of the Executive Committee shall be elected at the Semi-annual meeting of the Association. The President, Vice-President, Secretary and Treasurer shall be elected for one (1) year. At the annual meeting of the Association for the year of 1973, five (5) directors (not less than one of whom shall be female) shall be elected for a period of two (2) years and five (5) Directors (not less than one of whom shall be female) shall be elected for a period of one (1) year. Thereafter, five (5) Directors (not less than one of whom shall be female) shall be elected at each Semi-annual meeting, to hold office for two (2) years or until the semi-annual meeting in the year in which their term in office expires. 79/01/33
14. The members of the Association may approve, by way of a motion, remuneration for services of any member of the Executive Committee. 2006/10/11
15.Meetings of the Executive Committee may be called on forty-eight (48) hours notice to the members of the Committee. No notice shall be required to any meeting at which all members of the Committee are present, and any resolution signed by all the members of the Committee shall be of the same force and effect as if passed at a duly convened meeting of the Executive Committee. 49/03/24
16. Meeting of the Executive Committee shall be presided over by the President or in his absence the Vice-President or in the absence of both of these officers, by a member of both of these officers, by a member of the Committee chosen by the other members. Each member of the Committee shall have one vote and in the case of an equality of votes, the chairman of the meeting shall have an extra or casting vote. Five (5) members of the Committee shall constitute a quorum. 49/03/24
17. At all meetings of the Executive Committee and at all meetings of the Association, minutes shall be kept by the Secretary-Treasurer of the following matters:
(A) Appointment of officers
(B) All resolutions and proceedings carried on at such meetings
(C)The number of members or the names of the members of the Executive Committee, as the case may be, present at any meeting and such minutes shall be signed by the Chairman at such meetings and by the Secretary-Treasurer or other person acting as the Secretary for such meetings. 49/03/2
18. All documents required to be signed by or on the behalf of the Association, including cheques, Promissory Notes and Bills of Exchange shall be signed by the President or Vice-President and by the Secretary or Treasurer or, if authorized by the Executive Committee, by any two of the members of the Executive Committee, or if authorized by the Executive Committee, the Club Manager may be one of two required signatures on cheques. 2024/04/10
19. The Secretary-Treasurer shall have charge of the minute books and shall have care and custody of all records of the Association, which may be inspected by the members of the Association by arrangement with the Secretary-Treasurer. Before the annual meeting of each year, a financial statement in the form of a balance sheet covering the operations of the Association for the previous season shall be prepared and submitted to the annual meeting. 49/03/24
20. The Association shall have a corporate seal in such form as the Executive Committee may approve and such seal shall be kept in the custody of the Secretary. 49/03/24
21. At the annual meeting in each year the Association shall appoint an auditor or auditors, who shall, prior to the subsequent annual meeting, examine the accounts of the Association and ascertain the correctness of the financial statements. 49/03/24
22. The Executive Committee may, from time to time, in its discretion raise or borrow and secure the payment of any sum or sums of money for the purpose of the Association provided that the Executive Committee shall not, without the sanction of a special resolution of the Association, borrow any sum of money which will make the total indebtedness of the association, not so sanctioned, exceed the sum of $60,000. 88/04/20
23. The repayment of the sums borrowed in accordance with the preceding By-Laws shall be upon such terms as the Executive Committee shall think fit and may be secured by bonds or debentures. 49/03/24
24. The objects of the Association may be altered and the foregoing By-Laws may be amended, altered or rescinded by extraordinary resolutions of the Association. 49/03/24
The foregoing By-Laws hereto annexed numbered consecutively from one to twenty-four shall be the By-Laws of the Lacombe Curling Association and upon incorporation shall apply to the Association.
